Terms of Service

Last updated November 6, 2026

These Terms of Service (the “Terms”) are an agreement between you and ProperIntro (“we”, “us”) about your use of the ProperIntro website, application and related services (the “Service”). By creating an account, entering the demo, or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm you can bind it to these Terms.

1. The Service

ProperIntro is a relationship-intelligence platform: a directory of media and communications professionals and outlets, tools to organize contacts, send personalized email, track pitches and coverage, and share reports. Features, limits and plans are described on our pricing page and may change as the Service develops. We will give reasonable notice of changes that materially reduce what a paid plan includes.

2. Accounts and workspaces

  • You must be at least 18 and able to form a binding contract.
  • Give accurate information and keep your credentials secure. You are responsible for activity under your account and workspace, including by people you invite.
  • An owner or admin controls who joins a workspace and their roles. You must not share a seat between people.
  • Staff and outlet editors must use multi-factor authentication where we require it.
  • Tell us promptly of any unauthorized use of your account.

3. The demo workspace

The demo workspace is shared, uses fictional people and outlets, and may be reset at any time. Do not enter real personal data or confidential information into it. Nothing sent from the demo is delivered to a real inbox.

4. Plans, billing and renewals

  • Paid plans are billed monthly in advance through our payment processor. Prices are in US dollars and exclude taxes unless stated; we collect applicable taxes.
  • Subscriptions renew automatically until canceled. You can cancel at any time from the billing page; cancellation takes effect at the end of the current billing period and we do not charge you again.
  • Daily limits (emails and reveals) and capacity limits (seats, saved contacts) apply per plan and are enforced automatically.
  • If a payment fails we may retry, notify you, and, if it remains unpaid, move your workspace to limited free-plan access. We will not delete your data for non-payment without notice.
  • Fees are non-refundable except where required by law or where we state otherwise. If we materially fail to provide a paid feature, contact us within 30 days and we will make it right, which may include a pro-rated credit.
  • We may change prices on at least 30 days’ notice, effective at your next renewal.

5. Your content and data

You own the lists, notes, campaigns, messages, imports and other content you put into the Service (“Customer Content”). You grant us a limited licence to host, process and display it to provide and secure the Service, and to follow your instructions. We do not sell Customer Content or use it to train models, and we do not share it with other customers.

You are responsible for having the right to upload Customer Content, including any personal data you import, and for the lawfulness of how you use it.

6. The directory

The directory is our curated collection of professional information about people and outlets, drawn from public sources, outlet- and person-maintained records, licensed providers and confirmations by users. It is provided “as is”: we work to keep it accurate and show how each detail was sourced and when it was confirmed, but we do not guarantee that any record is complete, current or correct. You must check details that matter before relying on them.

The directory remains our property or that of our licensors. You may use it through the Service for your own business purposes within your plan’s limits. You may not copy, scrape, resell, or build a competing database from it.

7. Acceptable use

You must follow our Acceptable Use Policy and Email and Anti-Spam Policy. In particular, you must not send unsolicited bulk email, contact people who have asked not to be contacted, circumvent limits or protections, or use the Service for unlawful, deceptive or harassing purposes.

8. Email sending

When you send through the Service you are the sender and responsible for the content, your right to contact each recipient, and compliance with laws such as CAN-SPAM, CASL, PECR and GDPR. We add your identification, a postal address and a one-click unsubscribe to every message, and we honor opt-outs and bounces automatically. We may suspend sending if complaint or bounce rates indicate abuse or put our sending reputation at risk.

9. People listed in the directory

People and outlets can claim, correct, restrict or remove their listing. We will honor valid requests. Do-not-contact, protected-contact and removal flags apply to every customer, and you must not try to work around them.

10. Third-party services

The Service can connect to third-party services you choose, such as Stripe for payments, Gmail or Outlook for sending from your own mailbox, and chat tools for notifications. Your use of those services is governed by their terms. You authorize us to act on your behalf with them as you direct.

11. AI-assisted features

Suggested story angles and similar features are generated from cited public information and your project details. They are suggestions only: review them before use. We do not permit them to invent facts about people, and you remain responsible for what you send.

12. Intellectual property and feedback

We and our licensors own the Service, including software, design, trademarks and the directory. Except for the rights expressly granted, no rights are transferred. If you send feedback, you allow us to use it without restriction or compensation.

13. Confidentiality and security

We use reasonable technical and organizational measures to protect the Service and your data, described on our security page, but no system is perfectly secure. You must notify us promptly if you suspect a security incident affecting your account.

14. Suspension and termination

  • You may stop using the Service and close your workspace at any time.
  • We may suspend or end access if you breach these Terms, create risk or legal exposure for us or others, or fail to pay. Where practical we will warn you first.
  • On termination you may ask us for a copy of your own Customer Content (not directory contact details) for 30 days; afterwards we delete Customer Content on a schedule described in our Privacy Policy, except where law requires us to keep it.

15. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any email will be delivered or read.

16. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Our total liability for all claims relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the event giving rise to the claim and US$100. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

17. Indemnity

You will defend and indemnify us against claims, losses and expenses (including reasonable legal fees) arising from your Customer Content, your emails and campaigns, your breach of these Terms or the law, or your infringement of someone’s rights.

18. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the company is organized, without regard to conflict-of-law rules. Before filing a claim, each party will try in good faith to resolve the dispute informally for at least 30 days. Disputes that are not resolved will be decided in the courts of that jurisdiction, and each party submits to their jurisdiction, except that either party may seek urgent injunctive relief anywhere. Consumers keep any mandatory rights under the law where they live.

19. Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in the product at least 14 days before they take effect. Continuing to use the Service afterwards means you accept the updated Terms.

20. General

These Terms, with the policies they reference and any order or addendum, are the entire agreement between us on this subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business. Neither party is liable for delay caused by events beyond its reasonable control.
